6. You must ensure timely fulfillment of orders and provide excellent customer service. c. You agree to abide by all applicable laws and regulations, including those related to product safety, labeling, and intellectual property rights.
7. Product Listings: a. You must accurately describe your products or services and provide clear images and relevant details. b. You are prohibited from listing prohibited items or engaging in fraudulent or deceptive practices.
8. Pricing and Payment: a. You have the discretion to set prices for your products or services, which will be displayed on “3M”. b. “3M” will facilitate payments from customers and remit payments to you after deducting applicable fees.

13. Reviews and Ratings: a. Customers may leave reviews and ratings for your products or services based on their experiences. b. You agree not to manipulate or falsify reviews and ratings or engage in any form of review fraud.
14. Termination: a. “3M” reserves the right to terminate or suspend your Vendor account if you violate these Terms or engage in prohibited conduct. b. You may terminate your Vendor account at any time by providing notice to “3M”.
15. Amendments: a. “3M” will issue memorandums and may update or modify these Terms from time to time. Any changes will be communicated to you, and your continued use of the Marketplace will constitute acceptance of the revised Terms.

You will use customer data only for the purpose of fulfilling orders and providing customer support, and you will not disclose or sell customer data to third parties without explicit consent.
20. Liability: a. “3M” shall not be liable for any damages, losses, or expenses incurred by you as a result of your use of the Marketplace or any transactions conducted therein. b. 23. Entire Agreement: These Terms constitute the entire agreement between you and “3M” regarding your use of the Marketplace as a Vendor and supersede any prior agreements or understandings, whether written or oral.
24. Shipping and Delivery: a. You are responsible for packaging and shipping orders in a timely manner, using appropriate packaging materials to ensure the safe delivery of products. b. You must provide accurate shipping information and update order statuses on “3M” to keep customers informed about the progress of their orders in cause not delivering via our integrated delivery partners.
25. Product Quality and Compliance: a. You warrant that all products or services listed on “3M” meet applicable quality standards and comply with relevant laws and regulations. b. You agree to promptly address any product defects or non-compliance issues reported by customers and take necessary corrective actions.
26. Prohibited Activities: a. You are prohibited from engaging in any activities that may harm the reputation or integrity of “3M”, including but not limited to: i. Posting false, misleading, or deceptive information. ii. Engaging in spamming, phishing, or other fraudulent activities. iii. Violating the intellectual property rights of third parties. b. “3M” reserves the right to suspend or terminate your Vendor account if you engage in prohibited activities.
27. Insurance: a. You are responsible for obtaining appropriate insurance coverage for your products, including liability insurance and product liability insurance, to protect against potential risks and liabilities.
28. Dispute Resolution: a. In the event of any disputes or disagreements between you and “3M”, both parties agree to first attempt to resolve the dispute amicably through good-faith negotiations. b. If a resolution cannot be reached through negotiations, either party may seek mediation or arbitration in accordance with applicable laws and regulations.
29. Independent Contractor: a. Your relationship with “3M” is that of an independent contractor, and nothing in these Terms shall be construed to create a partnership, joint venture, or agency relationship between you and “3M”. b. You are solely responsible for your own taxes, insurance, and other obligations as an independent contractor.
30. Survival: The provisions of these Terms that by their nature should survive termination, including but not limited to indemnification, intellectual property rights, and limitations of liability, shall survive any termination or expiration of these Terms.
31. Product Warranty: a. You are responsible for providing any warranties or guarantees for the products or services you sell on “3M”, as required by applicable laws or industry standards. b. You must clearly communicate any warranty terms to customers and honor any warranty claims in accordance with those terms.
32. Tax Compliance: a. You are responsible for complying with all applicable tax laws and regulations related to the sale of your products or services on “3M”. b. You agree to accurately report and remit any applicable taxes, including sales tax, VAT, or other transactional taxes, to the relevant tax authorities.
33. Suspension or Termination: a. “3M” reserves the right to suspend or terminate your Vendor account at any time for violations of these Terms, fraudulent activities, or any other reason deemed necessary by “3M”. b. In the event of suspension or termination, you may lose access to your account, product listings, and any outstanding payments or funds held by “3M”.
34. Amendments to Terms: a. “3M” may update or modify these Terms at any time, and such changes will be effective upon posting on the Marketplace. b. You are responsible for regularly reviewing the Terms and ensuring compliance with any updates or modifications.
35. Feedback and Reviews: a. You acknowledge that customer feedback and reviews are important for the success of your business on “3M”. b. You agree to encourage satisfied customers to leave positive reviews and address any negative feedback or complaints in a professional manner.
36. Communication and Notifications: a. “3M” may send you important notifications, updates, or announcements via email, SMS, or through the Marketplace dashboard. b. You agree to keep your contact information up-to-date and promptly respond to any communications from “3M”.
37. Confidentiality: a. You may have access to confidential information about “3M”’s business operations, processes, or technology. b. You agree to maintain the confidentiality of such information and not disclose it to any third parties without prior written consent from “3M”.
38. Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect to the fullest extent permitted by law.

Changes To This Agreement
